These Terms of Service (“Terms”) govern your access to and use of the MeshAgent platform, a product of TIMU, LLC, a Delaware limited liability company (“TIMU,” “we,” “our,” or “us”).
MeshAgent is a cloud-based AI orchestration platform that enables enterprises and developers to deploy, manage, and collaborate with AI agents, tools, and secure “Rooms.”
By accessing or using the Services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent and warrant that you have authority to bind that organization.
2.1 Overview: The “Services” include MeshAgent SDKs (Python, JS, Dart), MeshAgent Studio, MeshAgent Server, MeshAgent CLI, Rooms, APIs, and any related software, documentation, or content made available by TIMU.
2.2 License: Subject to these Terms, TIMU grants you a limited, non-exclusive, non-transferable, revocable license to use the Services.
2.3 Prohibited Uses: You may not:
TIMU reserves the right to suspend or terminate accounts engaged in prohibited uses.
3.1 You may be required to register an account. You must provide accurate information and maintain account security.
3.2 You are responsible for all activity under your account. Notify TIMU immediately of unauthorized use.
3.3 TIMU is not liable for losses arising from compromised credentials.
4.1 Ownership: All rights in the MeshAgent platform, including SDKs, APIs, Server, Studio, documentation, and trademarks, are owned and controlled by TIMU, LLC.
4.2 Customer Content: You retain ownership of your content, data, and materials processed or developed through the Services.
4.3 Feedback: You grant TIMU a royalty-free, perpetual license to use suggestions or feedback for improvement.
5.1 Use of the Services is also governed by the MeshAgent Privacy Policy (incorporated by reference).
5.2 TIMU uses industry-standard safeguards (e.g., TLS encryption, scoped API keys, role-based access).
5.3 You are responsible for implementing your own security practices when integrating the Services.
The Services may interoperate with third-party tools. You are responsible for complying with applicable third-party terms.
7.1 Certain Services require fees, billed as subscriptions, usage-based charges, or prepaid credits.
7.2 Fees are due as stated in your billing agreement. Unless otherwise specified, payments are non-refundable.
7.3 TIMU may update pricing with 30 days’ notice. Continued use after notice constitutes acceptance.
The Services are provided “as is” and “as available.”
TIMU disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
We do not guarantee uninterrupted or error-free service.
To the maximum extent permitted by law:
You agree to indemnify and hold harmless TIMU, its affiliates, officers, and employees from claims or damages arising out of your misuse of the Services or violation of these Terms.
11.1 You may stop using the Services at any time.
11.2 TIMU may suspend or terminate access if you breach these Terms, fail to make payments, or as required by law.
11.3 Fees paid are non-refundable unless otherwise agreed.
12.1 These Terms are governed by the laws of the State of California, without regard to conflicts of law.
12.2 Disputes will be resolved by binding arbitration in Orange County, California, under the American Arbitration Association (AAA) rules.
12.3 Class actions and jury trials are waived.
12.4 You agree to comply with all applicable U.S. export control and sanctions laws (e.g., BIS, OFAC).
